These Terms of Service govern access to and use of Cleared2Close, including the lending CRM, contacts, referral partner tracking, loan pipeline, scheduling, email, campaigns, video, document and e-signature tools, AI assistance, lead pages, website integrations, billing, and team operations features we provide.

These Terms include and incorporate our Privacy Policy, Acceptable Use Policy, AI Terms, Communications Terms, E-Sign Terms, Data Processing Terms, Security page, and Google API Disclosure. If a feature has additional terms shown in the product, those terms also apply to that feature.
Accounts and Authority
You represent that you are authorized to create a Cleared2Close workspace and bind the company, lending team, mortgage business, or other business you identify during signup. You are responsible for keeping account credentials secure, managing team access, choosing appropriate user roles, and promptly removing users who should no longer have access. Actions taken through your account or team workspace may be treated as authorized by you.
Customer Data
You retain ownership of CRM contacts, lead records, referral partner records, loan pipeline records, notes, files, campaigns, videos, reports, signatures, and other data you submit to the service. You grant Cleared2Close permission to host, process, transmit, display, back up, troubleshoot, secure, and support that data as needed to provide and improve the service, comply with law, prevent abuse, and protect the service.
Borrower Portal and Confidential Loan Documents
The borrower portal is intended for requested loan-file documents and status visibility. You are responsible for deciding which documents to request, setting and sharing access codes appropriately, rotating access codes when needed, and confirming that borrowers understand what to upload. Do not request or upload unnecessary Social Security numbers, account numbers, identity documents, tax records, income records, asset statements, or other confidential information unless it is needed for a legitimate lending workflow and you have authority to collect it.
Compliance Responsibilities
You are responsible for the accuracy, legality, permission basis, and compliance posture of contacts, messages, files, campaigns, automations, loan records, reports, lead pages, and other content you add to or send from the service. You agree to comply with applicable mortgage lending, advertising, consumer finance, privacy, email, messaging, fair-lending, anti-discrimination, intellectual-property, and third-party platform rules, as well as any company, lender, broker, or regulator requirements that apply to your business.
Communications and Outreach
You are responsible for obtaining and honoring any consent required before sending email, text messages, calls, reminders, campaign automations, lead follow-up, video emails, booking messages, document requests, referral partner outreach, or borrower communications. You agree not to use Cleared2Close to send unlawful, deceptive, harassing, discriminatory, or unsolicited communications.
AI Features
AI features can draft emails, notes, reports, marketing content, borrower or referral partner follow-up, campaign content, and suggested CRM actions. AI output may be incomplete, outdated, biased, or inaccurate. You must review AI output before relying on it, sending it, sharing it, publishing it, or using it to update CRM records. Cleared2Close is not responsible for decisions made from unreviewed or inaccurate AI output.
No Professional Advice
Cleared2Close is workflow software. It does not provide legal, tax, underwriting, credit, appraisal, lending, insurance, financial, compliance, fair-lending, or professional mortgage advice. AI output, lead notes, borrower summaries, marketing drafts, and pipeline suggestions are not loan approvals, underwriting decisions, compliance determinations, or financial advice and should be reviewed by qualified professionals before use.
E-Signatures and Documents
The service may help prepare, route, sign, store, and audit electronic documents. You are responsible for selecting the correct documents, confirming signer identity and authority, deciding whether access codes are appropriate, verifying completed documents, and determining whether electronic signatures are legally sufficient for your transaction or jurisdiction.
Loan, Public Record, and Third-Party Data
You are responsible for having rights to upload, import, display, analyze, and share borrower information, referral partner information, loan file details, documents, public-record data, vendor-enriched contact data, videos, and marketing assets. You must follow applicable lender, broker, vendor, copyright, attribution, privacy, retention, and display rules.
Public Links and Shared Content
The service can create public, private, or tokenized links for reports, videos, booking pages, lead pages, document signing, borrower portals, and other assets. Anyone with a valid public or tokenized link, and any required access code, may be able to access the linked content. You are responsible for reviewing shared content, disabling links or rotating access codes when they should no longer be available, and avoiding disclosure of confidential or restricted information.
Billing
Paid plans, trials, renewals, cancellations, taxes, plan limits, seat limits, usage limits, AI allowances, storage limits, and payment terms are shown during checkout or in account billing settings. Unless otherwise stated, subscriptions renew automatically until canceled. If payment fails, access to paid features may be limited, suspended, or canceled until the account is current. Fees are non-refundable except where required by law or expressly stated by us.
Third-Party Services
The service may connect to providers such as Google, Microsoft, Stripe, Mailgun or other email services, AI providers, calendar providers, YouTube or video services, loan or CRM data providers, mapping providers, uptime and error monitoring providers, and inbound email processors. Your use of those integrations is also governed by the third party's terms, policies, availability, limits, and data practices.
Security and Support
You agree to use reasonable safeguards for your account and workspace, including strong passwords, careful team access, and optional MFA where appropriate. We may access customer data when needed to provide requested support, investigate security or abuse issues, comply with law, maintain the service, or protect rights and safety. Sensitive support and document access may be logged.
Service Changes and Availability
We may update, suspend, limit, or discontinue features as the product evolves, including integrations that depend on third-party APIs. We will make reasonable efforts to avoid material disruption to active customers when changing core functionality, but we do not guarantee uninterrupted or error-free service.
Suspension and Termination
We may suspend or terminate access if you violate these Terms, fail to pay fees, create security or legal risk, misuse the service, or use the service in a way that could harm Cleared2Close, other customers, third parties, or service providers. You may stop using the service or cancel according to the billing flow available in the product.
Disclaimers and Liability
To the fullest extent permitted by law, the service is provided as is and as available. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. To the fullest extent permitted by law, Cleared2Close will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, lost goodwill, or business interruption.
Indemnity
You agree to defend, indemnify, and hold Cleared2Close harmless from claims, damages, liabilities, costs, and expenses arising from your data, content, communications, outreach, integrations, use of AI output, use of loan, borrower, referral partner, public-record, or third-party data, violation of these Terms, or violation of law or third-party rights.
